1. Who we are
Rowbase (this site and the associated services) is published and operated by Kadiaak OÜ, Sepapaja tn 6, 15551 Tallinn, Harju Maakond, Estonia. VAT: EE102437021. Registration: 16357744. We refer to Kadiaak OÜ as “we” in these terms. By creating an account or using the service, you accept these terms; if you use Rowbase on behalf of an entity, you represent that you have authority to bind it.
2. The service
Rowbase lets you create tables with typed fields, edit them collaboratively, and sync rows that are added or changed to a Google Sheets file you designate. Syncing is one-way (Rowbase to Sheets); any move towards two-way syncing will be announced and does not retroactively change these terms. Row quotas, history duration and features depend on your plan, as described on the Pricing page. We set and enforce reasonable usage limits, and may adjust them to protect the service.
3. Your data
The content you enter or import remains yours. You grant us the licence strictly necessary to host it, display it to your members and write it to the Google destination you have chosen. You are responsible for the lawfulness of the data you import, in particular where it includes third-party personal data: in that case you act as controller and we as processor. You may export all of your tables as CSV at any time, including during a dispute.
4. Acceptable use
By using Rowbase, you agree not to (and not to allow third parties acting for you to):
- host unlawful data, or use the service for abusive solicitation or to process illegally obtained data;
- disrupt the service, or circumvent usage limits and quotas;
- resell or sublicense the service without our written agreement;
- reverse engineer or attempt to extract the source code of the service;
- share login credentials or API keys, or publish them in a public repository.
5. Plans, billing and cancellation
Paid plans are billed in advance for each period, at the price shown at the time of subscription, taxes not included. A seat is one person who can edit data; viewers are not billed. Seats added and removed are pro-rated over the current period. You may cancel at any time from Settings → Billing; cancellation takes effect at the end of the current period. Amounts due before cancellation remain payable. Our measurement of usage prevails, absent manifest error that you demonstrate.
6. Warranties and liability
The service is provided “as is”. To the extent permitted by law and except as expressly stated here, we exclude all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Syncing depends on a third-party service (the Google APIs): we do not guarantee that no write will ever be delayed or refused, and we recommend treating your sheet as a copy, not as the source of truth. To the extent permitted by law, our total liability for any claim is limited to the greater of: (a) the amounts you paid us in the six months preceding the triggering event, or (b) EUR 50 if you paid nothing. We are not liable for lost profits, revenue or data, nor for indirect, special, consequential or punitive damages.
7. Suspension and termination
You may stop using Rowbase at any time by closing your account. We may suspend or terminate your access in the event of a serious breach of these terms, if the law requires us to, or if we discontinue the service (with reasonable notice where practicable). If the service is discontinued, your data remains exportable for 60 days. Provisions that must survive by their nature — payment obligations already due, limitations of liability, governing law — remain in force.
8. Changes to these terms
We may change these terms, for example to reflect legal or product developments. Changes are published on this page and, for substantial changes, notified by email to account holders. They do not apply retroactively. Continuing to use the service after they take effect constitutes acceptance.
9. Governing law
Except where the law applicable to you provides otherwise on a mandatory basis (in particular EU/EEA consumer rights), these terms are governed by the law of the Republic of Estonia, and the courts of Harju county (Harju Maakohus), sitting in Tallinn, have exclusive jurisdiction.
